The agreement between you and Clipply for use of our smart-link platform.
These Terms & Conditions ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Clipply LLC, a company registered in UAE, Dubai, Internet City ("Clipply," "we," "us," or "our"), governing your access to and use of the Clipply website, dashboard, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a Clipply account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.
Notify us immediately at security@clipply.com if you suspect unauthorized access to your account.
Clipply offers a free plan and paid subscription plans (Pro, Enterprise, and any other plans published from time to time on our Pricing page). Paid plans may include a free trial period; at the end of the trial, your subscription converts to a paid plan and billing begins automatically unless you cancel before the trial ends.
Subscriptions renew automatically at the end of each billing cycle (monthly or yearly, as selected) until cancelled. Payments are processed securely by Tap Payments, our third-party payment processor; Clipply does not store your full card number. All fees are exclusive of applicable taxes unless stated otherwise, and taxes will be added where required by law.
For details on cancellations and refunds, see our Refund & Cancellation Policy, which forms part of these Terms.
You agree not to use the Service to:
We reserve the right to disable any link, suspend, or terminate any account that violates this section, with or without prior notice, at our reasonable discretion.
The Service, including its software, design, branding, and documentation, is owned by Clipply and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. You retain ownership of the content and destination URLs you submit through the Service ("Customer Content"), and you grant Clipply a limited license to host, process, and route that content solely to provide the Service to you.
The Service may link to, integrate with, or rely on third-party services (including our payment processor, Tap Payments, and analytics providers). We are not responsible for the availability, content, or practices of third-party services, which are governed by their own terms and privacy policies.
You may cancel your account at any time from your billing settings; cancellation takes effect at the end of your current billing period as described in our Refund & Cancellation Policy. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if required to do so by law. Upon termination, your right to use the Service ceases immediately; sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable law, Clipply and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid to Clipply in the twelve (12) months preceding the claim.
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will first be addressed through good-faith negotiation between the parties; if unresolved, disputes will be submitted to the courts of competent jurisdiction in [Jurisdiction].
We may update these Terms from time to time to reflect changes to the Service or applicable law. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
